Executive Director’s Message

Greetings Fellow Ruritans! Thank you for all you do for our incredible organization.

I am encouraged after reviewing the statistics of the fiscal year. We have welcomed six new clubs to our family. The last time we did that was five years ago. We have also had a net loss of 180 members, but this was the lowest net loss of members since 2008. We can only achieve our Vision of Creating Thriving Communities Across America by continually focusing on opening new clubs, expanding our footprint, and strengthening the health and stability of our existing clubs. Members in clubs are the ones who are going to Create Thriving Communities. I point out that we are doing a good job taking in members. In the last 365 days, we have added 2385 members. If we could just do a better job of retaining the members we welcome in. The board added a New Member Checklist to the club kit this year with ideas to assist in engaging the new member. We encourage you to use the checklist with every new member you bring in. We must also make a point to mentor and establish relationships with our members. I commend the board for focusing on growth this year. Committees met frequently. The first year and second year directors met each month. At each meeting, the board held strategic planning sessions. The statistics reflect the efforts. I remind you that we can never take our eyes off growth and strategic planning. Never be complacent. Never accept status quo. Challenge the process. Do things differently. Learn. Grow. Be fulfilled.

National Treasurer’s Report It has been an honor serving as your National Treasurer this year. The National Board and Executive Director have tried to be diligent and cautious with the past years National budget. We started the fiscal year with the Board approving a negative budget of just over $12,000, and ended the year with a loss of less than $1,200. Sarah Kelly worked very hard in her first year as our Executive Director and has been very efficient and frugal with your money, helping us to end the year under budget. She has managed to do this while dealing with other issues that arose throughout 2022.

The NBOD met virtually in March which helped to keep costs down. In 2022, we also saw less travel and visits by your NBOD due to lingering concerns of COVID. As the year went on, we were able to get back out to visit the assigned districts and attend Zone meetings and other events, which was much needed for the districts and the organization as a whole. Dues collections still remains my biggest concern going forward. My attempts to address them was stif led during COVID but I hope to start that campaign back up in 2023. We saw nearly $90,000 in uncollected dues in 2022. Clubs are being better about paying dues but we still have a lot of work to do. We were blessed in the past year to have gained 183 Ruritan Forevers along with six (6) new clubs. I commend National President Glen Broadwater for the new clubs, and First Lady Linda for the Ruritan Forever initiative. With that said, we have got to continue this trend of growing clubs and getting new members in the existing clubs. The dues increase from last year definitely helped, but, as I said when I addressed you in Myrtle Beach, if we continue losing more members than we gain, an additional increase will have to happen in the near future. Our National budget is bare bones with little to no areas to cut and we cannot continue to start each year with a negative budget. Even with the cost of a Ruritan Forever increasing to $800, it is still a great investment in the long run and it helps with National’s coffers. You should also consider purchasing a brick paver to be placed at the National office. Recognizing a Ruritan with a brick paver will not only honor or memorialize that person, but the contribution will go towards offsetting capital improvements needed at the National office. We have seen many challenges in the past year and are headed into 2023 still dealing with a few, but I want to thank the Executive Committee, the Budget and Finance Committee and the entire National Board for all of their hard work in 2022. And I would be remiss if I did not acknowledge our Executive Director and National Staff for their continued dedication and countless hours of hard work to keep the wheels under the bus. Thank you for allowing me to serve as your National Treasurer. Together we can work to continue to grow the greatest organization in the Country. God Bless each of you and thank you for what you do in the name of Ruritan.

Notes to Financial Statements

INCOME Charter Fees – Charter Fees are paid to Ruritan National when a club is formed. Dues – Dues are paid quarterly in January, April, July, and October.

Ruritan Forever Endowment – When a member, living or deceased receives a Ruritan Forever perpetual membership the money is segregated into a separate fund. This fund is used to produce income for payment of the members dues. Dues are paid for the life of the member and then perpetually. Once a member dies the dues generated are posted to the endowment income line. Associate Member Dues – Dues paid quarterly in January, April, July, and October. Ruritan Student Associate Member Dues are included in this line – Dues are paid quarterly in January, April, July, and October. Ruri-Teen Member Dues – Affiliation fee is due once a school year (due by January 10) at $100 for Ruri-Teen club and $150 for a college club. Ruritan Youth Dues – Dues are paid quarterly in January, April, July, and October. Initiation Fees – New members pay a $5 initiation fee to the club. The club in turn remits $3 of the fee to Ruritan National. Merchandise Sales Gross – Sale of Ruritan apparel, and specialty items (cups, pens, etc.), materials for club use, road signs, Rudy Bears, etc. Magazine Advertising – Income from advertisements placed in the Ruritan Magazine. Capital Replacement Donations – Donations received from districts, clubs, and individuals for capital replacement projects. Interest – Income generated on bank and investment accounts. Unrealized Gain/Loss – Gains/loss on investments at a specific date. Gains and Losses are only realized if in fact the investiments are sold at that time. Foundation – The Ruritan National Foundation operates from the Ruritan National Office. The Foundation annually reimburses Ruritan National to offset the cost of operations. Other – For any other income that Ruritan National receives. EXPENDITURES Executive Director Salary Salaries and Wages – Includes all National Office Staff except the Executive Director. Taxes and Employee Benefits – Federal & State income tax, social security, medicare, insurance, retirement. Office – Includes utilities, telephone, postage, supplies, maintenance, Holland memorial upkeep, equipment rental, and service. Capital Replacement Expense – Expenses that occur when replacing Capital items Other Administration – Federal and State unrelated business income tax, sales and use taxes, bank charges, bonding, professional auditing, legal services, computer programming, employee education. President’s Travel – Expenses for the travel of the National President President Elect’s Travel – Expenses for the travel of the National President Elect. Other Travel – Officers, staff, and non board committee travel. Growth and Development – Includes membership marketing (public service announcements, billboards, statics, audio and video,) publicity and public relations, area zone governors, expansion, growth awards, and allowances. Director’s Travel – Expenses for the travel of the National Directors. District and Club – Includes awards and officer pins, refund of 10% of dues collected to districts, district and club supplies (kit material) and shipping, liability insurance, summer leadership conference, youth conference, governors expenses to national convention, travel by area zone governors, district officer training meals and materials, magazine to members. Depreciation/Uncollected Dues Expense - Depreciation of office equipment and disbanded club expenses. Cost of Goods Sold – Cost to purchase merchandise for resale.

MINUTES OF THE 90th ANNUAL CONVENTION RURITAN NATIONAL January 7, 2022 Friday Business Meeting

START TIME: 9:15 a.m. PRESIDING: 2020-2021 National President Linward Hedgspeth Convention Program Co-Chair, Past National Director, Stan Turner, welcomed the attendees to Myrtle Beach, SC. National Director Donna Poulton led the attendees in the song “America” accompanied by Alton Free on piano. National Director, Patsy Shelton gave the invocation. Co-Chair Stan introduced National President Linward Hedgspeth as he walked to the podium. The Chair advised the delegates their programs state the next item of business is the adoption of the Convention Program. However, the body needs to adopt the Credentials Committee report before adopting the report of the Program Committee. The Chair called upon Sandra Lowe, Chair of the Registration and Credentials Committee, to give a report. Committee Chair Sandra reported as of Friday, January 7, 2022, at 9:00 a.m., there were: Pre-Registered 445 Walk-ins 17 Cancellations 64 Total Registered 398 Certified Delegates 316 Chair Sandra: On behalf of the Credentials Committee, I move for the adoption of this Preliminary report. The Chair restated the motion and asked the delegates if there was any discussion. Hearing none, The Chair asked all those in favor to say “Aye.” All opposed say “NO.” The Chair declared the motion adopted. The Chair called upon Convention Program Co-Chair Stan who presented President Linward with a copy of the Program. He reported that a printed copy of the Program is in the hands of each registrant for the convention. The following changes are made to the printed program. On page 31, the Credentials Committee First Report should come before the Program Committee report in the printed materials. The printed Program also contains the Standing Rules of the Convention. When voting to adopt the printed program they will also be voting to adopt the standing rules.

Approved March 25, 2022 - Page 2 Stan Turner: By the direction of the committee, I move for the adoption of the convention program, including the official agenda on pages 31-37, and the amendment just announced. The committee further moves that any names printed in the program be allowed to be substituted by The Chair during the business meetings with no amendments being necessary. The Chair restated the motion and asked the delegates if there was any discussion. Hearing none, The Chair asked all those in favor to say “Aye.” All opposed say “NO.” The Chair declared the motion adopted. The Chair introduced Myrtle Beach Chamber of Commerce & Convention and Visitors Bureau Executive Vice President of Group Sales Bob Harris, who welcomed attendees to Myrtle Beach. The Chair called upon Past National President, Millard Thacker, Chair of the Nominating Committee, for his report. Committee Chair Millard, on behalf of the Nominating Committee, presented nominees for each National office. A listing of nominees known at the time of printing appears on pages 71 of the convention program booklet. Committee Chair Millard reported that all candidates presented by the committee today have been certified by the committee. He also thanked his committee members, 2015 National President, Bobby Burton, and Past National Director, Frank Kinsey, Past National Director, Gary Olinger, and Past National Director, Danny Phillips, for their work on the committee. A copy of the committee’s report is on file at the national office. Committee Chair Millard announced Thomas Josh Adams (VA) and Larry Blount (PA) are nominated for Foundation Trustee. The Chair opened the floor for additional nominations for Foundation Trustee. The Chair asked if there were any additional nominations from the floor. Hearing none, the Chair declared the nominations for Foundation Trustee closed. Committee Chair Millard announced the nominations for National Director are Roger A. Davis (VA), Lynn Fillers (TN), Zachary McCallie (TN), Perry Marshman (VA), Donna Jo Poulton (SC), R. Scott Reed (VA), Ronnie L. Reid (NC), and Howard Tanner (IL) . The Chair asked if there were any further nominations for National Director. Past National Director, Joe Hulver, of the Stonewall District Club in the Rappahannock District, rose to nominate Cassandra Flanagan (WV) for National Director. Hearing no further nominations, The Chair declared the nominations for National Director closed. Committee Chair Millard announced the nominations for the one-year unexpired term of National Director is Dennis Bagnell (VA). The Chair opened the floor for additional nominations for the one-year unexpired term of National Director. The Chair asked if there were any additional nominations from the floor. Hearing none, the Chair declared the nominations for the one-year unexpired term of National Director closed.

The Chair opened the floor for additional nominations for National Secretary. Hearing none, the Chair declared the nominations for National Secretary closed. Committee Chair Millard announced the nomination for National Treasurer is David Thompson (VA). The Chair opened the floor for additional nomination for National Treasurer. Hearing none, the Chair declared the nominations for National Treasurer closed. Committee Chair Millard announced the nominations for National President-Elect are M. Edward Hicks, Jr. (VA) and Michael W. Morrison (VA) . The Chair opened the floor for additional nominations for National President-Elect. Hearing none, the Chair declared the nominations for National President-Elect closed. Candidates nominated for each office were allowed speak to the delegates for up to two minutes each. Committee Chair Millard: Mr. President, I would like to place the names of these candidates in nomination. The Chair restated the motion and asked the delegates if there was any discussion. Hearing none, The Chair asked all those in favor to say “Aye.” All opposed say “NO.” The Chair declared the motion adopted. The Chair reminded delegates that certification is open today until 12:00 p.m. Anyone not pre certified must be certified by 12:00 p.m. to be able to vote. The polls will be open from 1:30 p.m. until 3:30 p.m., for those not attending the Fellowship Luncheon. Please allow those with disabilities to advance to the front of the line at the polls. Those attending the fellowship luncheon will be given additional voting details at the end of the luncheon. They will vote in the same ballroom as the luncheon. The Chair called upon 2020-2021 Foundation Trustee Treasurer Phillip Bradshaw, who gave an oral report. His notes are included as an attachment to these minutes. The Chair called upon Dennis Bagnell, Chair of the Bylaws Committee for a report on, and to answer delegates questions about, the bylaws issues on the ballot. There were no delegates who rose to speak on any of the ballot issues. The Chair called upon President-Elect Glen Broadwater to announce the next two presentations.

Special Recognitions The Chair asked President-Elect Glen to come to the podium to assist him with special recognitions while he took his place on the presentation stage. President-Elect Glen asked all Ruritan members with 70, 60 and 50 or more years of membership, to stand to be recognized. President Linward donned gloves and mask as he walked among them hand them his “eagle coins” as a token of appreciation , while congratulating them on their dedication. President Linward stated that Ruritan Forever is our life membership program. He asked all those who have received Ruritan Forever status during 2020-2021 to stand (these are listed in the Annual Report on page 13). He then asked for all members, who hold Ruritan Forever status, to stand to be recognized. President Linward stated that membership recruitment is the life blood for the local club and Ruritan National. He asked those who had earned the President’s Golden Key award in 2020 2021 to stand. He then asked for all members, who had earned the Golden Key award, to stand to be recognized. President Linward asked all members, in clubs winning Gold Community Service awards in 2020-2021, to stand to be recognized. President Linward recognized the following Outgoing Non-Board Committee Members: Martha Byrum, Erich Fronck, and Calvin Shelton who stood to be recognized.
