Executive Director’s Message

Throughout the year, Ruritan clubs across the country stepped up to help where they were needed most. Members gave their time, their energy, and their hearts to support families, mentor youth, and strengthen their communities. These simple acts of service—done day after day—are what help communities grow and thrive.

I am thankful for the strong financial care shown this year, as shared in the Treasurer’s Report. Through careful planning and responsible spending, Ruritan remained financially stable. The opening of new clubs and the addition of new members also helped strengthen our organization. To remain healthy and strong, we must continue opening new clubs. This is not growth for the sake of numbers. It is about making sure Ruritan will be here for future generations—ready to serve, ready to lead, and ready to help communities thrive. By planting new clubs today, we ensure that the values of fellowship, goodwill, and community service continue well into the future. None of this work happens without people willing to do the work. I want to thank our volunteer leaders, club officers, district leaders, national leaders, and committee members. Their leadership keeps Ruritan moving forward. I am also deeply grateful to the Ruritan National staff for their hard work, dedication, perseverance, and behind-the-scenes support. They support our members, clubs, and districts, manage daily operations, steward our resources, and meet challenges with care and resolve. Their behind-the-scenes work is essential to everything we accomplish together. As we look to the year ahead, we must do so with hope and confidence. Challenges will come, but Ruritan will meet them by working together. Together, we will continue building thriving communities!

National Treasurer’s Report

I would like to express my sincere gratitude to every Member, Club, District and Director for their tremendous efforts in collecting dues this year. Your dedication has been instrumental in maintaining financial stability for our organization. By fulfilling our obligations, we ensure the long term financial health of Ruritan. I am confident that by working together, we can continue this success. It has been an honor to serve alongside the Budget & Finance Committee, our Executive Director, our CPA and

our investment advisor. Each member of our financial team has made a firm commitment to work together to ensure that our financial goals are met, our funds are spent wisely, and that we follow smart business practices and accepted accounting principles. Their efforts are an asset to our organization. We wrapped up our fiscal year on a good note! Expenses were lower than anticipated in some areas, and we saw a boost in dues revenue because of the new clubs that were opened. Our finance team is committed to sticking to the budget and finding ways to save money when possible. We’re seeing evidence of growth and we’re excited about what that means for our organization, and, even better, the communities that we serve. Looking ahead to the upcoming year, we’re noticing a continuing increase in prices. Therefore, we must focus on responsible financial management. Given the rise in inflation, we need to ensure adequate income to cover any additional costs, primarily through the collection of dues. It’s crucial that each club meets its financial responsibilities by paying dues each quarter. By practicing thoughtful budgeting and sustained progress, we will be in a strong financial position for the next year. So, what’s the plan for 2026? We should keep expanding and starting new clubs. Let’s be open to fresh ideas for helping our communities. We should focus on getting members who are really passionate about where they live, work and play. No need to just get numbers for the club rosters, let’s recruit with purpose. When we share the same goals, we can do amazing things. Let’s keep promoting what Ruritan is all about- Fellowship, Goodwill and Community Service. Open your club doors and your hearts, and work with everyone who comes our way to make our vision of “Creating Thriving Communities Across America” happen.

Notes to Financial Statements

INCOME Charter Fees – Charter Fees are paid to Ruritan National when a club is formed. Dues – Dues are paid quarterly in January, April, July, and October. Associate Member Dues – Dues paid quarterly in January, April, July, and October. Ruritan Student Associate Member Dues are included in this line. Ruritan Youth Dues – Dues are paid quarterly in January, April, July, and October. Ruri-Teen Member Dues – Affiliation fee is due once a school year (due by January 10) at $100 for Ruri-Teen club and $150 for a college club. Ruritan Forever Endowment – When a member, living or deceased receives a Ruritan Forever perpetual membership the money is segregated into a separate fund. This fund is used to produce income for payment of the members dues. Dues are paid for the life of the member and then perpetually. Once a member dies the dues generated are posted to the endowment income line. Merchandise Sales Gross – Sale of Ruritan apparel, and specialty items (cups, pens, etc.), materials for club use, road signs, Rudy Bears, etc. Magazine Advertising – Income from advertisements placed in the Ruritan Magazine. Capital Replacement Donations – Donations received from districts, clubs, and individuals for capital replacement projects. Interest – Income generated on bank and investment accounts. Unrealized Gain/Loss - Unrealized gains and losses represent the increase or decrease in the fair market value of investments that have not yet been sold as of the reporting date. These amounts are not realized in cash and are subject to market fluctuations. Realized Gain/Loss – Gains/loss on investments on a specific date that the investment is sold. Gains and losses are only realized if in fact the investiments are sold at that time. Foundation – The Ruritan National Foundation operates from the Ruritan National Office. The Foundation quarterly reimburses Ruritan National to offset the cost of operations. Project FOCUS - Project FOCUS operates from the Ruritan National Office. Project FOCUS annually reimburses Ruritan National to offset the cost of operations. Other – For any other income that Ruritan National receives. EXPENDITURES Executive Director Salary Salaries and Wages – Includes all National Office Staff except the Executive Director. Taxes and Employee Benefits – Federal & State income tax, social security, medicare, insurance, retirement. Office – Includes utilities, telephone, postage, supplies, maintenance, Holland memorial upkeep, equipment rental, and service. Capital Replacement Expense – Expenses that occur when replacing Capital items Other Administration – Federal and State unrelated business income tax, sales and use taxes, bank charges, bonding, professional Director’s Travel – Expenses for the travel of the National Directors. Other Travel – Officers, staff, and non board committee travel. Growth and Development – Includes membership marketing (public service announcements, billboards, statics, audio and video,) publicity and public relations, area zone governors, expansion, growth awards, and allowances. District and Club – Includes awards and officer pins, refund of 10% of dues collected to districts, district and club supplies (kit material) and shipping, liability insurance, summer leadership conference, youth conference, governors expenses to national convention, travel by area zone governors, district officer training meals and materials, magazine to members. Depreciation/Uncollected Dues Expense - Depreciation of office equipment and disbanded club expenses. Cost of Goods Sold – Cost to purchase merchandise for resale. auditing, legal services, computer programming, employee education. President’s Travel – Expenses for the travel of the National President President Elect’s Travel – Expenses for the travel of the National President Elect.

MINUTES OF THE 93rd RURITAN NATIONAL ANNUAL CONVENTION BUSINESS MEETING Friday January 24, 2025 Embassy Suites, Greenville, SC

START TIME: 4:02 pm PRESIDING: 2025 National President Robin Davenport Convention Co-Chair Jim Lafollette welcomed everyone to the Friday business session and introduced National Director Julie Marshall for the invocation. Convention Co-Chair Jonathan LaFollette introduced National President Robin Davenport who called the meeting to order at 4:04pm. President Robin recognized all those that supported Western North Carolina, thanked them, Credentials Committee Chair Sandra Lowe reported that as of Friday, January 24, 2025, there were: Pre-Registered 393 Walk-ins 22 Cancellations 10 Total Registered 405 Certified Delegates 393 and asked attendees to continue to keep them in your prayers. The first item of business was the Credentials Committee report. On behalf of the Credentials Committee, Sandra moved that the roll of delegates hereby submitted be the official roll of voting members of the convention. The Chair restated the motion and asked the delegates if there were any questions. Hearing none, A voice vote was taken, and the majority voted in favor. The chair declared the credentials report adopted. The Chair called on Convention Program Co-Chair, 2000 National President Jim Lafollette who presented a few corrections to the printed program. 1) On pages 14 and 17, it states the credentials report will be given by Sarah Kelly. It should read Sandra Lowe. 2) On page 18 it states Sarah Kelly will deliver the election results. It should read Sandra Lowe. 3) On page 48, add the Tellers Committee with members as follows: Sandra Lowe (chair), Craig Whitt (staff), and Anne Hedgspeth. 4) On pages 14 and 17, it states Phillip Bradshaw will present on behalf of the Ruritan National Foundation. It should read Guy Cox.

The Chair called for a motion to adopt the corrected Convention Program.

Past National President Jayson Duncan proposed an amendment to standing rule #3, debate by striking: “No member shall speak in debate more than once on the same question, or longer than two minutes without permission of the convention granted by a two-thirds vote without debate.” and inserting “A delegate may address the assembly a second time after the other speakers have had their turn. Delegates will be allotted three minutes each time they are permitted to speak. The amendment was adopted. The convention program, as amended, was adopted with the standing rules amended and the business meeting agendas. The Chair called upon 2020/2021 National President Linward Hedgspeth to give the Nominating Committee’s report. A listing of nominees at the time of printing appears on page 43 of the program book. A copy of the committee’s report is on file at the National Office. Nominating Committee Chair Linward Hedgspeth announced that the nominees for Foundation Trustee are: O.H. The Chair opened the floor for additional nominations for National President-Elect. Hearing none, nominations were declared closed for National President-Elect. Candidates nominated for each position were allowed to speak to the delegates for up to two minutes each. The Chair reminded attendees that delegate certification is open today until 4:00 p.m. It will open again in the morning from 7:00 am-8:00 am. Anyone not certified must be certified by 8:00am on Saturday to be able to vote. All delegates who have registered by 4:00pm Friday with an email address will receive a link to cast their ballot electronically. If you feel uncomfortable voting electronically, paper Scantron ballots are available in the Embassy Ballroom prior to voting. Delegates who register Saturday morning, must vote by paper ballot. Delegates have a WHITE name badge. Non-delegates have a BLUE name badge. Only delegates will be allowed to vote. The Chair recognized Ron Reid, Bylaws Committee Chair, and committee members to address and answer any questions concerning the bylaws that the delegates will be voting on. The ballot items were addressed in order.

Ballot Item No. 1: The Ruritan National Bylaws ARTICLE I Name/Emblem/Politics, Section 3, Reads as follows: “This organization and its members shall be non-sectarian and non-partisan and shall take no action endorsing or condemning any candidate or measure which is to be submitted to the vote of the people.” The board approved striking the current wording and inserting new wording as follows: “This organization shall be non-sectarian and non-partisan.” The chair invited Homer “Billy” Hobbs to address his submitted appeal to move to appeal to the delegates of the 2025 Ruritan National Convention to rescind the board action approving BOD Motion Year: 2024, Month: October, Motion #4; (including any amendments made before its passage in December 2024) which restructured the NBOD Standing Committees from seven to three (Growth, Training, and Communication) and changed the way the committee chairs were appointed. Further move to reinstate the original seven Standing Committees: Advancement, Bylaws, Growth Development and Member Retention, Leadership Development, Publications, Publicity and Public Relations, and Youth Activities.

President Robin invited 2024 Foundation Vice President Guy Cox to give a report.

Guy Cox gave a report of the Foundation on behalf of President Phillip Bradshaw. 1) Build Your Dollar Program. Encourage clubs to participate in the program. a. 2024 – 464 clubs receive a $675 scholarship for their $300.

b. 515 Clubs participating – growth of 50 more clubs. c. Payout for 2025 will be $350 for a total of $650.

2) Foundation Weekend will be held June 13-15, in Blackwater Falls, WV 3) Foundation investment today, impact tomorrow has 28 participants. 4) 2024 Trustees updated the foundation policy manual. 5) The foundation has $6,457,128 as of September 30, 2024 6) 2024 – 9 new endowed contracted funds were started with investment 7) 2024 – updated the two endowed contracted fund contracts 8) Please use the Ruritan Foundation short guide. This guide is up to date and located on the website. President-Elect Becky Lane asked Youth Committee Chair Perry Marshman to join them to recognize the 2024 Rudy Youth, Ruri-Teen of the Year. 2024 Rudy Youth of the Year – Audrey Decker , Butler, Tennessean 2024 Ruri-teen of the Year – Tyrice Young, Generations Club, Spartan District, South Carolina 2024 Ruritan of the Year – Drema Johnston, Barren Springs Community Club, New River District, VA Executive Director Sarah Kelly made final announcements. The Chair declared the meeting in recess at 6:02pm until 10:00 am on Saturday. The Chair asked President-Elect Becky Lane to help present the next awards.

The Chair asked that the delegates thank them for their service with a round of applause. The Chair asked President-Elect Becky to help him make the next awards. Becky Lane asked all Ruritan members with 50 to 59 years of service, 60-69 years of service, and all Ruritan members with 70 years or more years of service to stand and be recognized by the assembly and President Robin. The Chair asked those that received the following status, and awards stand and be recognized by the assembly: • Ruritan Forever during 2024. The 2024 recipients are also listed in the 2024 Annual Report. • President’s Golden Key recipients in 2024. • 2024 apricot bar for recruiting 5 members in 2024. • Clubs that won Gold Community Service awards. All clubs that had five or more members increase in 2024, stood and were recognized. TOP RECRUITER The Chair presented the Top Recruiter Award in a Calendar Year. The Top Recruiter receives one free Ruritan National Convention registration. President Robin congratulated David Blackwelder for recruiting 48 members.
