Executive Director’s Message
As we reflect on another year for Ruritan, I am inspired by the Treasurer’s report, which highlights the teamwork and dedication of our members. The strength of our finances and the thoughtful stewardship of our resources are testaments to what we can achieve when we come together with a shared purpose.
This success is about more than just numbers; it’s about the heart and passion of our volunteers who make Ruritan what it is. Use this as a reminder to always embody the spirit of service and community-building that fuels our vision to Create Thriving Communities. As Jon Gordon reminds us in Lead with Passion, “Your purpose gives you energy. Your passion is contagious.” Our healthy financial standing didn’t happen by chance—it came from careful planning, commitment, and focus. It also came from understanding that growth is not just an option; it is our path forward—not growth for its own sake but growth to amplify the good we can do in our communities. Each new member strengthens our ability to foster connections, solve problems, and create a lasting impact for America. As we face rising costs and new challenges, we must embrace strategic growth as our way to thrive. It’s not just about adapting to change—it’s about leading it and taking action. By working together with purpose and determination, we can continue to build a stronger future for Ruritan and for the communities we serve. National Treasurer’s Report
Thank you to everyone for working hard to collect and pay dues on time this past year. Your efforts have kept our organization’s finances strong and stable. This is so important for the health of Ruritan, and I encourage everyone to keep up this great work. I also want to thank the Budget and Finance Committee, our Executive Director, Ruritan’s Controller, CPA, and
Investment Advisor. Their planning and care have helped us use our money wisely and follow smart business practices. Their hard work is a huge asset to our organization. This year, Ruritan finished with strong finances. Membership growth was better than expected, and we kept our expenses under control, using only about 90% of what we planned to spend. These good results came from everyone’s efforts to stick to the budget and grow our membership. A Quick Change to Note for this year: Our auditors made a change to how we report some of our money. Now, Unrealized Gains are counted in our Income and Expense report instead of on the balance sheet. This added $182,244.36 to our income. It’s just a new way of reporting due to an accounting standards update—not extra money. Looking ahead, growth must remain our top priority. But this is not about numbers alone—it is about creating thriving communities, fostering social connections, and strengthening the social capital that defines Ruritan. Strategic growth is essential to sustaining our future and addressing the challenges facing America’s communities. Inflation is rising, so we need to grow at a similar rate to keep up. By focusing on smart growth and working together, we can make sure Ruritan stays strong and ready to meet challenges. Thank you for everything you do to support Ruritan. Together, we can keep making a big impact.

Notes to Financial Statements
INCOME Charter Fees – Charter Fees are paid to Ruritan National when a club is formed. Dues – Dues are paid quarterly in January, April, July, and October. Associate Member Dues – Dues paid quarterly in January, April, July, and October. Ruritan Student Associate Member Dues are included in this line. Ruritan Youth Dues – Dues are paid quarterly in January, April, July, and October. Ruri-Teen Member Dues – Affiliation fee is due once a school year (due by January 10) at $100 for Ruri-Teen club and $150 for a college club. Ruritan Forever Endowment – When a member, living or deceased receives a Ruritan Forever perpetual membership the money is segregated into a separate fund. This fund is used to produce income for payment of the members dues. Dues are paid for the life of the member and then perpetually. Once a member dies the dues generated are posted to the endowment income line. Merchandise Sales Gross – Sale of Ruritan apparel, and specialty items (cups, pens, etc.), materials for club use, road signs, Rudy Bears, etc. Magazine Advertising – Income from advertisements placed in the Ruritan Magazine. Capital Replacement Donations – Donations received from districts, clubs, and individuals for capital replacement projects. Interest – Income generated on bank and investment accounts. Unrealized Gain/Loss - Unrealized gains and losses represent the increase or decrease in the fair market value of investments that have not yet been sold as of the reporting date. These amounts are not realized in cash and are subject to market fluctuations. Realized Gain/Loss – Gains/loss on investments on a specific date that the investment is sold. Gains and losses are only realized if in fact the investiments are sold at that time. Foundation – The Ruritan National Foundation operates from the Ruritan National Office. The Foundation quarterly reimburses Ruritan National to offset the cost of operations. Project FOCUS - Project FOCUS operates from the Ruritan National Office. Project FOCUS annually reimburses Ruritan National to offset the cost of operations. Other – For any other income that Ruritan National receives. EXPENDITURES Executive Director Salary Salaries and Wages – Includes all National Office Staff except the Executive Director. Taxes and Employee Benefits – Federal & State income tax, social security, medicare, insurance, retirement. Office – Includes utilities, telephone, postage, supplies, maintenance, Holland memorial upkeep, equipment rental, and service. Capital Replacement Expense – Expenses that occur when replacing Capital items Other Administration – Federal and State unrelated business income tax, sales and use taxes, bank charges, bonding, professional Director’s Travel – Expenses for the travel of the National Directors. Other Travel – Officers, staff, and non board committee travel. Growth and Development – Includes membership marketing (public service announcements, billboards, statics, audio and video,) publicity and public relations, area zone governors, expansion, growth awards, and allowances. District and Club – Includes awards and officer pins, refund of 10% of dues collected to districts, district and club supplies (kit material) and shipping, liability insurance, summer leadership conference, youth conference, governors expenses to national convention, travel by area zone governors, district officer training meals and materials, magazine to members. Depreciation/Uncollected Dues Expense - Depreciation of office equipment and disbanded club expenses. Cost of Goods Sold – Cost to purchase merchandise for resale. auditing, legal services, computer programming, employee education. President’s Travel – Expenses for the travel of the National President President Elect’s Travel – Expenses for the travel of the National President Elect.

MINUTES OF THE 92nd RURITAN NATIONAL ANNUAL CONVENTION Friday Business Meeting, Winston-Salem, NC January 12, 202 4
START TIME: 8:30 a.m. PRESIDING: 2023 National President Michael Morrison National Secretary Juliann Poff presented the announcements. Convention Program Chair, 1998 National President Gary Taylor, welcomed the attendees to Winston-Salem, NC. National Director Perry Marshman gave the invocation. National Treasurer David Thompson introduced National President Michael Morrison escorted by the first-year directors John Biery, Roger Carter, Larry Garrison, Billy Hobbs, Merlin Scales, and Jim Zehr. National President Mike (Chair) welcomed everyone to Winston-Salem. The chair stated that the first order of business is a report from the Credentials Committee. Delegates wishing to record the information will find a blank report on the inside of the back cover of the program. National Secretary Juliann Poff reported that as of Friday, January 12, 2024, there were: Pre-Registered 423 Walk-ins 15 Cancellations 13 Total Registered 425 Certified Delegates 408 Mr. President, on behalf of the Credentials Committee, I move the adoption of this first credentials report. The Chair restated the motion and asked the delegates if there were any questions. Hearing none, all those in favor of adopting the Credentials Report, say “Aye.” Those opposed, say “No.” The ayes have it and the Credentials Report is adopted. The Chair called on Convention Program Chair, 2007 National President Jimmy Bristow who presented President Mike with a copy of the convention program. He reported that a printed copy of the program is in the hands of each registrant for the convention. Mr. President, on behalf of the Convention Program Committee, we move for the approval of the program, which includes the Convention Standing Rules and the agendas for the Friday and At the time of the report, 70 badges had yet to be picked up.

Saturday Business Sessions. Strike from the program on page 20, the welcome from Winston Salem as the Mayor attended the opening ceremony on Thursday evening. The Chair restated that the motion is to adopt the Convention Program, including the Convention Standing Rules and Business Session Agendas with the striking of the welcome from Winston Salem on page 20. Ruritan delegates will approve the Friday Business Meeting Agenda on page 20 and the Saturday Business Meeting Agenda on pages 26 - 27, along with the Standing Rules of the National Convention on pages 58-60. Delegates are reminded that when voting to adopt the convention program, they will also be voting on whether to adopt the standing rules or not. Is there any discussion? Hearing none, all those in favor say “Aye.” All opposed say “NO.” The Ayes have it, and I declare the motion adopted. The Chair called upon 2022 National President Glen Broadwater, Chair of the Nominating Committee, for his report. A listing of nominees at the time of printing appears on page 50 of the program book. A copy of the committee’s report is on file at the National Office. Nominating Committee Chair Glen Broadwater announced that the nominee for Foundation Trustee is Alex Sowers (WV). The Chair opened the floor for additional nominations for Foundation Trustee. Hearing none, nominations were declared closed for Foundation Trustee. Nominating Committee Chair Glen Broadwater announced the nominees for National Directors are: Leon Alt, WV Raymond Cade, LA Debi Davis, NC Patty Hamilton, WV The Chair opened the floor for additional nominations for Foundation Trustee. Hearing none, nominations were declared closed for National Director. Nominating Committee Chair Glen Broadwater announced that Rebecca Lane (WV) is a nominee for National President-Elect. The Chair opened the floor for additional nominations for National President-Elect. Hearing none, nominations were declared closed for National Director. Candidates nominated for each position were allowed to speak to the delegates for up to two minutes each. The Chair reminded attendees that delegate certification is open today until 12:00 p.m. Everyone must be certified by 12:00 p.m. to be able to vote. Voting will start immediately after the First Family Fellowship Luncheon. All delegates with an email address will receive a link to cast their ballot electronically. If you feel uncomfortable voting electronically, paper Scantron ballots will be passed out and available immediately after the Friday Luncheon in this room. The Bylaws Committee will answer any questions concerning the bylaws that the delegates will be voting on. The ballot items were addressed in order. Ballot Item No. 1: James Mills, County Line Ruritan Club, Georgia-North Alabama District spoke to defeat the motion. (Talking points available from the National Office) Ballot No. 2: David Thompson, National Treasurer and the Budget and Finance Committee joined George at the podium. David Thompson clarified the bottom line listed in the annual report, $117,000 is attributed to Ruritan Forever endowments which are restricted. The bottom line is $20,000. There were no additional comments. Ballot No. 4: James Mills, County Line Ruritan Club, Georgia-North Alabama District. Spoke to defeat this ballot item. (Talking points available from the National Office.) Michael asks 2023 Foundation President Phillip Bradshaw to come to the podium and give a report on the foundation. Philip gave a report of the Foundation. Philip introduced and thanked the Foundation Trustees for their work. Foundation is here to work for you and encourage everyone to invest in the foundation. The Foundation celebrated their 55 th anniversary in 2023. Philip reminded everyone of the live auction at 5:00 pm this evening. The Foundation’s five-year program taking them to their 60 th anniversary is “Invest in the future”. At the end of the five years, those that donate will have a permanent fund. The Foundation currently has $5.2M invested. Philip reported on the Build your Dollar program. 429 clubs claimed the build your dollar program last year. This year 501 clubs have invested in the program. $675 will be given back this year to each club that invested $300. The more clubs that invest, the more that can give back. President-Robin Davenport asked Youth Committee Chair David Hogan to join him on stage to recognize the 2023 Rudy Youth, Ruri-Teen of the Year. 2023 Rudy Youth of the Year – Dalton Hudson (Butler Club, TN) 2023 Ruri-teen of the Year – Kayla Ramby (Chattanooga Central High School, Cherokee District, TN) 2023 Ruritan of the Year - Eddie Kinser (Butler Club, Tennessean District, TN) National Secretary Juliann Poff made final announcements and at 9:27 am, the Chair declared the meeting in recess until 8:30 am on Saturday. Gary Taylor welcomed everyone. National Secretary Juliann Poff presented the announcements. Gary Taylor and Jimmy Bristow recognized those who assisted with the planning of the convention and all of those who attended the convention. They introduced President Mike, who was escorted in by the 2 nd year directors Roger Davis, Lynn Fillers, Cassandra Flanagan, Zack McCallie, Perry Marshman, Donna Poulton, and Ronnie Reid. President Michael welcomed everyone and asked National Secretary Juliann Poff to give the second report of the Credentials Committee. The Chair stated that Ruritan Forever Participants are planting trees under whose shade they will not sit. They are guaranteeing the continuation of their beloved Ruritan Organization. Those that received a Ruritan Forever status during 2023 stood to be recognized. These 2023 recipients were also listed in the 2023 Annual Report. The Chair stated that membership recruitment ensures the health and stability of the local clubs and Ruritan National. Those that earned the President’s Golden Key in 2023 stood to be recognized. The Chair then recognized and thanked the outgoing non-board committee members, please stand as your name is called. David stated that the Treasurer’s report can be found on page 4 of the Annual Report with statement and notes on pages 6-13 of the Annual Report. The Chair called upon the National Secretary, Juliann Poff, for her report. Mr. President and fellow delegates: the Minutes of the 91st Annual Convention held in Kingsport, TN, were approved by the Board of Directors. A copy of the minutes is reported in the 2023 Annual Report on pages 25-34. Any referenced attachments are on file at the national office. The Chair called upon Executive Director Sarah Kelly for her report. The Chair thanked Sarah for her report and stated that Ruritans cannot begin to thank her and the staff at the National Office for all the work you do on our behalf. Fellow Ruritans, please join me in thanking Sarah and the National Office staff for their hard work. The Chair called upon John Biery, Chair of the Convention Resolutions Committee. Mr. President, the Convention Resolutions Committee has 4 resolutions it wishes to offer for the consideration of the delegates. The Chair read the Teller’s Report for National President-Elect and declared Rebecca Lane (WV) elected. National Bylaws Amendments National Bylaws Amendment #1 – Striking the word “Politics” and inserting the word “Principles” in Article 1 “Name/Emblem/Politics”. The Chair read the Tellers’ Report for National Bylaws Amendment #1 and declared National Bylaw Amendment #1 failed. National Bylaws Amendment #2 – Motion for a $1 per quarter dues increase ($4 per year) for all adult/business org memberships (not including youth) to take effect April 1, 2024. The Chair read the Tellers’ Report for National Bylaws Amendment #2 and declared National Bylaw Amendment #2 adopted. National Bylaws Amendment #3 – Article III Membership/Members, Section 4: Dues and Fees. Striking the word “shall” and insert the word “should” and between 1 st and day, insert the word “business”. The Chair read the Tellers’ Report for National Bylaws Amendment #3 and declared National Bylaw Amendment #3 adopted.

National Bylaws Amendment #4 – Amend National Bylaws by creating a new Article V Exempt Charitable Organizations. The Chair read the Tellers’ Report for National Bylaws Amendment #4 and declared National Bylaw Amendment #4 adopted. Appeal of Board Action by Delegate Item 1 - Move to rescind board action 2022-08-05 which implemented a new ethics policy and further move to reinstate the 2010 Ethics Policy. The Chair read the Tellers’ Report for Appeal of Board Action by Delegate Item 1 and declared Appeal of Board Action by Delegate Item 1 adopted. Appeal of Board Action by Delegate Item 2 – Move to rescind board action 2023-05-11, which eliminated district caucuses at the Ruritan National Convention and further move to reinstate previous policy from 1998. The Chair read the Tellers’ Report for Appeal of Board Action by Delegate Item 2 and declared the Appeal of Board Action by Delegate Item 2 adopted. NEW BUSINESS The Chair asked if there was any new business to come before the assembly. Gary and Jimmy thanked the Office Staff, the Ruritan National Foundation, and Cassandra Flanagan for their support of the convention, as well as Frank Guthrie for his assistance with the Opening Ceremony and collecting outstanding dues this year. Lynn Fillers and Roger Davis presented a Ruritan Forever to Patrick Bagwell and thanked those who helped contribute to this. Hearing no objection, the Chair declared the meeting adjourned after the Pledge of Allegiance, which will be led by 2023 Foundation President Phillip Bradshaw at 10:00 am. Respectfully submitted,
