Executive Director’s Message

For 95 years, Ruritans have been making their communities better places to live, so I first want to express my heartfelt gratitude to each of you. Your dedication, compassion, and efforts have made an incredible impact on your communities. Throughout the year, you have shown the true meaning of Ruritan. Whether providing essential services, volunteering your time, or simply being a source of strength and inspiration, your contributions have not gone unnoticed. As we look ahead to the coming year, collectively, Ruritan is setting

bold, ambitious goals to meet the needs of our neighbors, our communities, and America. Boldness and ambition are precisely what we will need to tackle the challenge before us. Ruritan has a 5-year vision of doubling our current membership and number of clubs, improving all levels of communication, and developing a learning plan to train and empower our future leaders. How? If each club welcomes five new members each year, and each district opens a new club each year, then repeats that, and repeats that again for the next five years, we WILL double. Why? Think about all the additional projects your club and district can complete with double the members. Think about all the new communities you can serve by doubling the clubs in your district. Think about all the good our clubs are doing across Ruritanland now and what we can be capable of when we call in the cavalry! There is no limit to what we can achieve! Think about the America you were blessed to have grown up in. Do you long for the “good old days?” The feeling of love and compassion for others has slipped by the wayside, and we can’t allow it to continue to slide. People need people more today than ever. People need Ruritan! The essence of our shared humanity lies in our core values of Fellowship, Goodwill, and Community Service. These timeless principles are guiding lights that can illuminate our path toward a brighter and more united future. By fostering Fellowship, Goodwill, and Community Service, we weave a tapestry of connections. Each act of kindness, every moment of understanding, and all instances of lending a helping hand contribute to the revival of civility and the creation of a society we can all be proud to belong to. Let’s remember that the power of transformation lies within our actions, our attitudes, and our commitment to one another. Let’s seize this moment to usher in an era of empathy, compassion, and genuine unity, lighting the way toward a brighter, more harmonious future. I hope you find renewed inspiration and energy to continue your incredible work. National Treasurer’s Report As we look back at the results of the fiscal year, I would like to express gratitude to the Board and, in particular, to Past National President Frank Guthrie for their dedicated efforts in focusing on the collection of dues in arrears. This initiative has played a crucial role in improving our cash flow, contributing to a more stable financial position throughout this year. Each of you should be cognizant of your Club’s efforts in paying quarterly dues in a timely fashion to assure your Club is staying current in its obligations.

The Budget and Finance Committee deserves commendation for their effective income budgeting. Their meticulous planning has ensured that our financial resources were utilized wisely, leading to a positive impact on our overall financial health. However, it is important to highlight a significant factor that contributed to our positive bottom line—Ruritan Forever’s income. While this income has indeed bolstered our financial standing, it is essential to note that these funds are restricted for endowment purposes and cannot be used for regular operating expenses. The remarkable success of the Ruritan Forever program, with an overwhelming surge in participation during October-December 2022, led to an income that surpassed our initial budget projections. Upon deducting the Ruritan Forever Income from the bottom line, the organization posts a loss in an amount close to $20,000. While this is better than the initially approved budget shortfall of $32,000, this realization underscores the importance of solidifying our income stream and finding sustainable solutions for our financial stability. Regrettably, we find ourselves in a challenging position due to the historical decline in membership and a substantial increase in inflation. To address these issues, the Board is compelled to propose a dues increase for the 2024 year. However, it is important to recognize that a dues increase is a temporary solution—a band-aid for our financial challenges. The real remedy lies in fostering growth within our organization. With the average inflation rate at 5%, it is imperative that we grow at a similar rate to maintain financial equilibrium. Unfortunately, cutting expenses without compromising the quality of membership benefits is no longer a viable option. Therefore, our focus must shift towards strategic growth initiatives to ensure the long-term health and stability of our organization. In closing, I extend heartfelt thanks to the Budget and Finance Committee for their unwavering commitment and countless hours spent in preparing and presenting the budget to the Board. Your dedication has not gone unnoticed, and we appreciate the grueling effort that has been invested in this crucial task. I want to say thank you to each of you for allowing me the opportunity to serve as your National Treasurer. Going forward, as we navigate the challenges ahead, let us collectively work towards a sustainable future for our organization, marked by growth, resilience, and financial stability.

Notes to Financial Statements

INCOME Charter Fees – Charter Fees are paid to Ruritan National when a club is formed. Dues – Dues are paid quarterly in January, April, July, and October. Associate Member Dues – Dues paid quarterly in January, April, July, and October. Ruritan Student Associate Member Dues are included in this line. Ruritan Youth Dues – Dues are paid quarterly in January, April, July, and October. Ruri-Teen Member Dues – Affiliation fee is due once a school year (due by January 10) at $100 for Ruri-Teen club and $150 for a college club. Ruritan Forever Endowment – When a member, living or deceased receives a Ruritan Forever perpetual membership the money is segregated into a separate fund. This fund is used to produce income for payment of the members dues. Dues are paid for the life of the member and then perpetually. Once a member dies the dues generated are posted to the endowment income line. Merchandise Sales Gross – Sale of Ruritan apparel, and specialty items (cups, pens, etc.), materials for club use, road signs, Rudy Bears, etc. Magazine Advertising – Income from advertisements placed in the Ruritan Magazine. Capital Replacement Donations – Donations received from districts, clubs, and individuals for capital replacement projects. Interest – Income generated on bank and investment accounts. Realized Gain/Loss – Gains/loss on investments on a specific date that the investment is sold. Gains and losses are only realized if in fact the investiments are sold at that time. Foundation – The Ruritan National Foundation operates from the Ruritan National Office. The Foundation quarterly reimburses Ruritan National to offset the cost of operations. Project FOCUS - Project FOCUS operates from the Ruritan National Office. Project FOCUS annually reimburses Ruritan National to offset the cost of operations. Other – For any other income that Ruritan National receives. EXPENDITURES Executive Director Salary Salaries and Wages – Includes all National Office Staff except the Executive Director. Taxes and Employee Benefits – Federal & State income tax, social security, medicare, insurance, retirement. Office – Includes utilities, telephone, postage, supplies, maintenance, Holland memorial upkeep, equipment rental, and service. Capital Replacement Expense – Expenses that occur when replacing Capital items Other Administration – Federal and State unrelated business income tax, sales and use taxes, bank charges, bonding, professional Director’s Travel – Expenses for the travel of the National Directors. Other Travel – Officers, staff, and non board committee travel. Growth and Development – Includes membership marketing (public service announcements, billboards, statics, audio and video,) publicity and public relations, area zone governors, expansion, growth awards, and allowances. District and Club – Includes awards and officer pins, refund of 10% of dues collected to districts, district and club supplies (kit material) and shipping, liability insurance, summer leadership conference, youth conference, governors expenses to national convention, travel by area zone governors, district officer training meals and materials, magazine to members. Depreciation/Uncollected Dues Expense - Depreciation of office equipment and disbanded club expenses. Cost of Goods Sold – Cost to purchase merchandise for resale. auditing, legal services, computer programming, employee education. President’s Travel – Expenses for the travel of the National President President Elect’s Travel – Expenses for the travel of the National President Elect.

MINUTES OF THE 91 ST ANNUAL RURITAN NATIONAL CONVENTION January 20, 2023 Friday Business Meeting

START TIME: 8:00 a.m. PRESIDING: 2022 National President Glen Broadwater Convention Program Chair, 1999 National President Rick Poff welcomed the attendees to Kingsport, TN. National Director Donna Poulton led the attendees in a verse of “America”. Marshall Ross (Rocky Mt/Durham District Governor) provided the invocation. Convention Chair called 2022 National President Glen Broadwater to the podium, escorted by his grandchildren: Xander Kingery, Brody Kingery, Madeline McKinney and Connor McKinney. Prior to formally opening the business meeting, Rick Poff presented President Glen Broadwater his official gong and gavel. President Glen Broadwater (Chair) called upon Debi Davis, Chair of the Registration and Credentials Committee, to give a report. Committee Chair Debi reported as of Friday, January 20, 2023 at 8:00 a.m. there were Pre-Registered 375 Walk-Ins 10 Cancellations 8 Total Registered No Shows Certified Delegates 364 Alternates The Chair restated the motion and asked the delegates if there was any discussion. Hearing none, the Chair asked all those in favor of adopting the Credentials Report to say “Aye”, opposed “No”. The Chair declared the “Ayes” have it and declared the motion adopted. The Chair called upon Convention Program Chair Rick who presented President Glen with a copy of the Program. Rick confirmed that all registered attendees have received a printed copy of the Program. He noted that if Program is approved, the business meeting agendas along with Standing Rules of the National Convention would be adopted. Convention Chair Rick: By the direction of the convention committee, I move for the adoption of the convention program. The Chair restated the motion and asked the delegates if there was any discussion. Hearing none, the Chair asked all those in favor to say “Aye”, opposed “No”. The Chair introduced Kingsport, TN City Manager, Chris McCartt, who welcomed attendees to Kingsport.

The Chair called upon 2007 Ruritan National President Jimmy Bristow, Chair of the Nominating Committee, for his report. A listing of nominees at the time of printing Program appears on page 64. Committee Chair Jimmy reported that all candidates presented by the committee today have been certified by the committee. A copy of the committee’s report is on file at the National Office. Committee Chair Jimmy announced for Foundation Trustee (5 year term) Debra Knesal (VA). No candidate was listed for Foundation Trustee (1 year term) unexpired term of Graham Bryant. The Chair opened the floor for additional nominations for Foundation Trustee. Wally Hudson (VA) rose from the floor to nominate Cleveland Wright (VA) for one-year Foundation Trustee position. Danny Privott (NC) rose from the floor to nominate Pat Davis (VA) for the one year Foundation Trustee. The Chair asked if there were any further nominations from the floor. Hearing none, nominations were declared closed for Foundation Trustee positions. Committee Chair Jimmy announced the nominations for National Director: John Biery (OH), Larry Garrison (NC), Ed Hicks (VA), Billy Hobbs (NC), Merlin Scales (VA), Pearl Underwood (VA) and James Zehr (IN). The Chair asked if there were any further nominations from the floor for National Director. Jason Duncan (NC) rose from the floor to nominate Roger Carter (TN) for National Director. The Chair asked if there were any further nominations from the floor. Hearing none, nominations were declared closed for National Director. Committee Chair Jimmy announced for 2-year unexpired Secretary term Juliann Poff (VA). The Chair opened the floor for additional nominations for 2-year unexpired term of National Secretary. Hearing none, the Chair declared the nominations closed for National Secretary. Committee Chair Jimmy announced the nomination for National President-Elect Robin Davenport (VA). The Chair asked if there were any further nominations from the floor. Hearing none, nominations were declared closed for National President-Elect. Candidates nominated for each position were allowed to speak to the delegates for up to two minutes each. Committee Chair Jimmy: The names of all these candidates are placed in nomination. The Chair restated the motion and asked the delegates if there was any further discussion. Hearing none, the Chair asked for all those in favor to say “Aye”, all opposed “No”. The chair declared the motion adopted. The Chair reminded attendees that delegate certification is open until 12:00pm. Anyone not certified would be unable to vote. Voting would commence immediately after the First Lady Fellowship Luncheon. Ballots would be distributed to delegates attending the luncheon. Delegates not attending the luncheon should prepared to vote in Convention Center A immediately following the luncheon.

The Chair called upon Bylaws Committee Chair Dennis Bagnell for a report on the bylaws issues on the ballot. Questions and/or comments were called from delegates. Reggie Wine (Mt. Sydney, VA) requested that delegates not approve Ballot Item #4 which would change our mission statement. Eliminating our motto of “Fellowship, Goodwill, and Community Service” is something that does not warrant being changed. Rodger Nicely (Johnsonville, NC) noted that the new wording of the requested change mission statement aligned more with what clubs are doing but did not want to eliminate “Fellowship, Goodwill, and Community Service.” Thus, he did not support passing Ballot #4. The Chair called upon 2022 Ruritan Foundation President O.H. Bobbitt. Even with market having some difficulties this past fiscal year, O.H. reported the Foundation remains strong. The Trustees held to a balanced portfolio and stayed course. The Build Your Dollars program had 438 Clubs participate in 2020 and for 2023 there are 463 Clubs. He announced that grants for this Build Your Dollars program will have the clubs’ $300 investment matched by Foundation with additional $350, totaling $650 for clubs participating. The chaired called upon President-Elect Mike Morrison to announce several awards. Youth Committee Chair Mike Wright joined President Glen Broadwater as two youth awards were announced: 2022 National Rudy Youth of the year: Catelynn Flanagan (North River and Slanesville Ruritan Clubs, WV) 2022 Ruri-Teen of the year: Sarah Latham (Central High Ruri-Teen Club, TN). Sarah was unable to attend the convention. Chair Glen recognized the 2022 Ruritan of the Year: 2022 Ruritan of the Year: Gary Collier (Bloomingdale Ruritan Club of the Tennessean District). The Chair called upon Interim National Secretary, Larry Cassell, for announcements. At 10:30 a.m., the Chair declared the meeting in recess until 8:00 a.m. on Saturday.
